1. Acceptance of Terms
By accessing, browsing, or using the Humaneer website, application, API, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Humaneer (“we,” “us,” or “our”). You represent that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, and have the legal capacity to enter into this agreement.
2. Service Description
Humaneer is an AI-powered text transformation tool that rewrites AI-generated content to produce more natural, human-sounding text. The Service processes text submitted by you through artificial intelligence models and returns a rewritten version.
No guarantees of output quality. The Service uses generative AI technology, which is inherently probabilistic. We do not guarantee that any output will be free from errors, factual inaccuracies, unintended meaning changes, or stylistic issues. You are solely responsible for reviewing, editing, and verifying all output before use in any context.
No guarantee of undetectability. We do not warrant, represent, or guarantee that output produced by the Service will be undetectable by AI detection tools, plagiarism checkers, or any other content analysis software. The effectiveness of text transformation varies based on input quality, length, complexity, and evolving detection methodologies.
3. Account & Credits
3.1 Credit Purchases
Access to the Service requires the purchase of credits. Credits are sold as one-time purchases in flexible amounts. All credit purchases are final and non-refundable. You acknowledge that credits are a digital good delivered instantly upon purchase.
3.2 Credit Usage
Each text transformation consumes one (1) credit, regardless of the length or complexity of the input text. We reserve the right to modify the credit consumption rate, credit pricing, and volume discount structure at any time. Changes will apply to future purchases only and will not affect credits already purchased.
3.3 Access Tokens
Upon purchase, you will receive an access token that authenticates your credit balance. You are solely responsible for the security and confidentiality of your access token. We are not liable for any unauthorized use of your token, including but not limited to loss of credits resulting from token compromise.
3.4 No Expiration
Purchased credits do not expire under normal circumstances. However, we reserve the right to expire credits associated with accounts that violate these Terms, or in the event of Service discontinuation (see Section 10).
4. Acceptable Use
You agree not to use the Service to:
- Submit content that is unlawful, defamatory, threatening, obscene, or otherwise objectionable.
- Process text for the purpose of academic fraud, plagiarism, or misrepresentation of authorship in academic settings where such conduct violates institutional policies.
- Generate content intended to deceive, defraud, or mislead others in ways that cause harm.
- Submit content that infringes on the intellectual property rights of third parties.
- Attempt to reverse-engineer, decompile, or extract the underlying prompts, models, or algorithms used by the Service.
- Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable usage patterns or places undue burden on our infrastructure.
- Circumvent, disable, or interfere with any security or access-control features of the Service.
- Resell, sublicense, or redistribute access to the Service without prior written authorization.
We reserve the right to suspend or terminate access and forfeit remaining credits for any User we reasonably believe to be in violation of these terms, without notice or refund.
5. Intellectual Property
5.1 Your Content
You retain all rights to the text you submit to the Service (“Input”) and to the transformed text returned by the Service (“Output”). We claim no ownership over your Input or Output.
5.2 Our Service
All rights, title, and interest in and to the Service, including but not limited to software, algorithms, prompts, user interface design, branding, trademarks, and documentation, are and remain the exclusive property of Humaneer. Nothing in these Terms grants you any rights to our intellectual property beyond the limited right to use the Service as described herein.
5.3 Feedback
Any suggestions, feature requests, or other feedback you provide regarding the Service may be used by us without obligation to you, including for product improvement purposes.
6. Third-Party Services
The Service utilizes Google’s Generative AI technology (Gemini) for text processing. By using our Service, you also agree to be bound by Google’s Generative AI Terms of Service and Google’s Privacy Policy, insofar as they apply to data processed through their API on your behalf.
We are not responsible for the availability, accuracy, or performance of any third-party technology integrated into the Service. Google may update, modify, or discontinue their AI models at any time, which may affect the quality or availability of our Service.
Payment processing is handled by third-party payment providers. Your payment information is processed directly by these providers and is subject to their respective terms of service and privacy policies. We do not store your payment card details.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Service will be uninterrupted, secure, error-free, or free from viruses or other harmful components.
- Any warranty regarding the accuracy, reliability, completeness, or quality of any Output generated by the Service.
- Any warranty that Output will be undetectable by AI detection tools or systems.
- Any warranty that the Service will meet your specific requirements or expectations.
You acknowledge that generative AI technology may produce inaccurate, incomplete, misleading, or inappropriate content. You are solely responsible for evaluating and using any Output at your own risk.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUMANEER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Damages for loss of profits, revenue, goodwill, or data.
- Damages arising from the use or inability to use the Service.
- Damages resulting from any Output generated by the Service, including but not limited to factual errors, meaning changes, or reputational harm.
- Damages arising from unauthorized access to or alteration of your data or tokens.
- Damages arising from any third-party conduct or content, including Google’s AI services.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR TEN DOLLARS ($10.00), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Humaneer and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of the Service or any Output generated through your use.
- Your violation of these Terms.
- Your violation of any rights of any third party.
- Any content you submit to the Service.
- Any claim that your use of Output constitutes fraud, plagiarism, or misrepresentation.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent activity, or abuse of the Service.
Upon termination, your right to use the Service ceases immediately. Any remaining credits in your account will be forfeited. We shall not be liable to you or any third party for any termination of your access.
Service discontinuation. We reserve the right to discontinue the Service entirely at any time. In the event of planned service discontinuation, we will make reasonable efforts to provide 30 days’ notice via our website. Unused credits at the time of discontinuation will not be refunded.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the “Last updated” date at the top of this page. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms.
It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Service.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration regarding any claims arising from these Terms or your use of the Service.
